Guidelines, Policies and Agreement for Use of www.ceonetweaversportal.org

Welcome to the Netweavers/Outweavers Portal! CEO Netweavers, Inc. ("CEO Netweavers" or the "organization") is a private nonprofit corporation that has established this website (the "Portal") for the use and benefit of our members.

Out of respect for individual members within the organization and to control the flow of content in and out of the Portal, we have created some basic guidelines and user principles. Please note that the mechanics of the Portal are dynamic and will be evolving over time. We welcome feedback and as an organization will continue to make improvements to the functionality and member privileges.

A. GENERAL POLICIES:

I. ACCESS TO AND USE OF PORTAL:

Access to the CEO Netweavers Portal is limited to members of CEO Netweavers whose membership is in good standing. These terms and conditions of use (the “Agreement”) as well as our Privacy Policy, which is incorporated herein, constitute all the terms of the agreement between CEO Netweavers and each user of the Portal (“you” or “User”) with regard to your access to and use of the Portal.

Please read this Agreement carefully before accessing or using the Portal. By accessing or using the Portal, you agree to be bound by the terms and conditions of this Agreement. If you do not wish to be bound by these terms and conditions, you may not access or use the Portal. If you utilize the Portal in a manner inconsistent with these terms and conditions, CEO Netweavers may terminate your access.

CEO Netweavers may modify this Agreement at any time. Any modifications shall be effective immediately upon posting of the modified Agreement on the Portal. Please check this page periodically to become aware of any modifications to the Agreement. Your continued access to or use of the Portal shall be deemed your conclusive acceptance of the modified Agreement.

II. POSTING ON YOUR PERSONAL SITE:

At the present time each member is permitted to post content only to his or her personal home page.

Postings may include:

Resume / Bios / Photo / "Here's what I can give – Here's how you can help" / Other

Each member may utilize the email capability amongst individuals, but not set groups (at this time)

III. POSTING ON THE SITE:

To post or email Content (listed below), your information will be sent to the Portal for administrator approval. You will receive an email approving or disapproving your post. If additional information is required, we will contact you.

Opportunities / Requests for Help / Announcements / Events / Newsletters / Other mass distribution or main site posting requests

IV. ALLWEAVER MEMBERSHIP LIST

The membership contact list is strictly confidential and not to be distributed outside the organization. This list is provided for members' personal use only to facilitate helping each other. Any member who disregards this policy is subject to disciplinary action, which may include immediate termination of membership in the CEO Netweavers organization.

B. ADDITIONAL TERMS AND CONDITIONS OF USE

I. PRIVACY POLICY

The CEO Netweavers organization respects the privacy of your personal information. Please review our Privacy Policy regarding how we collect, use, disclose, protect and manage your personal information.

II. MEMBER CONDUCT AND APPROPRIATE CONTENT

You acknowledge that this Portal is available solely for your personal, non-commercial use. YOU REPRESENT, WARRANT AND AGREE THAT NO MATERIALS OF ANY KIND SUBMITTED THROUGH YOUR ACCOUNT ON THE PORTAL WILL VIOLATE OR INFRINGE UPON THE RIGHTS OF ANY THIRD PARTY, INCLUDING COPYRIGHT, TRADEMARK, PRIVACY, PUBLICITY OR OTHER PERSONAL OR PROPRIETARY RIGHTS OR WILL CONTAIN LIBELOUS, DEFAMATORY OR OTHERWISE UNLAWFUL MATERIAL.

You further agree not to harvest or collect email addresses or other contact information of members from the Portal by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications. Additionally, you agree not to use automated scripts to collect information from the Portal or for any other purpose. You further agree that you may not use the Portal in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Portal.

You may not use the Portal for any illegal or unauthorized purpose. International users agree to comply with all local rules regarding online conduct and acceptable content, including laws regulating the export of data from the United States or your country of residence. You are solely responsible for your conduct and any data, text, information, graphics, photos, profiles, audio and video clips, links and other content or materials that you submit, post, and display on the Portal.

Members must ensure that any content they post on the Portal is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, otherwise injurious to third parties or otherwise objectionable (as determined by the Portal administrators in their sole discretion) and that the content does not consist of or knowingly contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead others as to the origin of your content.

In addition, You agree not to attempt to damage, deny service to, hack, crack, reverse-engineer, disrupt, attack, flood, spam or otherwise interfere in any way (collectively, "Interfere") with the operation of the Portal or related information systems. If you in any way Interfere with the Portals operation, You agree to pay all damages incurred by CEO Netweavers, including any consequential damages, that result from the Interference. Your Interference with the Portal is a material breach of this Agreement and relieves CEO Netweavers of any of its contractual or other legal obligations to you, including confidentiality obligations. CEO Netweavers will cooperate with the authorities in prosecuting anyone who Interferes with the Portal or attempts to defraud any person through the utilization of the Portal or any information or other materials obtained from the Portal.

III. ELIGIBILITY AND REGISTRATION

In order to access the Portal, each member will be assigned a login and password by the Portal administrators. Each user agrees to keep his or her login and password information confidential and to notify CEO Netweavers immediately upon discovering any loss, theft or unauthorized use of the login and/or password. You are responsible for all activities occurring under your login and for the security of your password.

Access to the Portal is restricted to members of CEO Netweavers, all of whom are over eighteen (18) years old. Therefore, CEO Netweavers does not knowingly collect or obtain any Information (including personally identifiable information) from children under age eighteen (18).

IV. GENERAL RESTRICTIONS

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials (the "Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not the Portal or CEO Netweavers are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Portal. The Portal does not control the Content posted and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using this site, You may be exposed to Content that is offensive, indecent or objectionable.

UNDER NO CIRCUMSTANCES WILL THE PORTAL OR CEO NETWEAVERS BE LIABLE IN ANY WAY FOR ANY CONTENT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE PORTAL.

You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account including the Content of your transmissions through the Portal. Your use of the Portal is subject to limitations, restrictions, and prohibitions, including but not limited to the following:

a. You may not copy, reproduce, reuse, retransmit, adapt, publish, frame, post, upload, modify, broadcast, disseminate, or distribute any Content from the Portal, including for any public or commercial purpose whatsoever, without our prior written permission.
b. You agree not to submit materials or Content that is unlawful or promote or encourage illegal activity or that would violate the personal rights or proprietary rights of others.
c. You agree not to submit materials or Content of any third party without such third party's prior written consent, or materials or Content that falsely express or imply that such materials are sponsored or endorsed by CEO Netweavers.
d. You agree not to use other members' personal data for purposes other than establishing contact when such is reasonably expected to be welcomed by such other members.
e. You agree not to attempt to gain unauthorized access to the Portal, other accounts, computer systems or networks connected to the Portal, through password mining or any other means.
f. You agree not to modify, adapt, translate, or reverse engineer any portion of the Portal, or use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Portal.
g. You agree not to disseminate Content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, proprietary right of any party or that infringes any other intellectual property law or other applicable law.
h. You agree not to remove any copyright, trademark or other proprietary rights notice contained in or on the Portal.
i. You agree not to harvest or collect email addresses or other contact information of members, including usernames, from the Portal by electronic or any other means.

V. CANCELLATION AND TERMINATION

Violation of any of the terms of this Agreement will result in the termination of your access to the Portal.

We may cancel any registration(s) or account(s) on this Portal at any time, without notice or liability, for any reason, including the occurrence of technical problems, irregularities or misuse. We reserve the right to refuse service and registration to anyone for any reason at any time.

We have the right to access at any time your account and may review and investigate the Content and may remove any Content or materials that we determine in our sole discretion are unlawful, fraudulent, threatening, libelous, defamatory, obscene or otherwise objectionable, or that infringe or violate any party's intellectual property or other proprietary rights or the terms of this Agreement. Under no circumstances, however, does the Portal or the CEO Netweavers have any obligation to check the accuracy or truthfulness of the Content or of any materials posted on the Portal or to monitor any member's use of the Portal.

VI. OWNERSHIP OF CONTENT YOU PROVIDE

Subject to the application of the Privacy Policy to personal data, any material you send to or upload on this Portal will be deemed non-confidential and non-proprietary. If You post Content or submit material for use on the Portal, unless otherwise indicated by CEO Netweavers, You grant the Portal and CEO Netweavers, including affiliates of each, a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, archive, modify, adapt, publish, translate, create derivative works from, distribute, disseminate and display such Content throughout the world in any media. This includes any data, questions, comments, suggestions, ideas or other information, material or property. We (or our designees) will be entitled use any or all of it for any purpose, WITHOUT COMPENSATION TO YOU, including for reproduction, disclosure, transmission, publication, broadcast and posting. You may only send or upload material to the Portal if You are the original author of the material, or otherwise have the necessary rights to use that material.

YOU REPRESENT AND WARRANT THAT YOU OWN OR OTHERWISE CONTROL ALL OF THE RIGHTS TO THE CONTENT THAT YOU POST, THAT THE CONTENT IS ACCURATE, THAT USE OF THE CONTENT YOU SUPPLY DOES NOT VIOLATE THE PORTAL'S POLICIES AND WILL NOT CAUSE INJURY TO ANY PERSON OR ENTITY, AND THAT YOU WILL INDEMNIFY THE PORTAL, CEO NETWEAVERS, AND THEIR RESPECTIVE AFFILIATES FOR ALL CLAIMS RESULTING FROM CONTENT YOU SUPPLY TO THE PORTAL. THE PORTAL TAKES NO RESPONSIBILITY AND ASSUMES NO LIABILITY FOR ANY CONTENT POSTED BY YOU OR ANY THIRD PARTY.

VII. DISCLAIMER AND LIMITATION OF LIABILITY

We try to make the Portal and its contents reliable, but inaccuracies may occur. Therefore, regardless of anything else on the Portal or in this Agreement:

a. USE OF THE SITE IS AT YOUR OWN RISK.
b. YOU EXPRESSLY UNDERSTAND AND AGREE THAT ANY AND ALL INFORMATION CONTAINED ON OR OBTAINED FROM THE PORTAL IS PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. CEO NETWEAVERS DOES NOT WARRANT THAT THE PORTAL WILL BE FREE FROM BUGS, DEFECTS OR ERRORS, OR ACCESSIBLE WITHOUT INTERRUPTION. CEO NETWEAVERS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, OR ANY OTHER WARRANTY, CONDITION, GUARANTY, OR REPRESENTATION, WHETHER ORAL, WRITTEN, OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE QUALITY, ACCURACY, USEFULNESS, TIMELINESS OR COMPLETENESS OF ANY INFORMATION PROVIDED HEREON.
c. YOUR USE OF THE PORTAL AND THE INFORMATION THEREON, INCLUDING BUT NOT LIMITED TO STATEMENTS OF OPINION THAT MAY NOT BE FACTUAL, IS ENTIRELY AT YOUR RISK. YOU ASSUME FULL RESPONSIBILITY AND RISK OF LOSS RESULTING FROM THE USE OF THIS INFORMATION. CEO NETWEAVERS IS NOT RESPONSIBLE FOR ANY ERRORS OR OMISSIONS, OR FOR THE RESULTS OBTAINED FROM THE USE OF THIS INFORMATION. CEO NETWEAVERS WILL NOT BE RESPONSIBLE FOR ANY DIRECT OR INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OR LOSSES YOU MAY INCUR IN CONNECTION WITH THE PORTAL, YOUR USE THEREOF, OR ANY OF THE INFORMATION, DATA OR OTHER MATERIAL TRANSMITTED THROUGH OR RESIDING ON THE PORTAL, OR ANY ERRORS, DEFECTS, INTERRUPTIONS, DELETIONS OR LOSSES RESULTING THEREFROM, OR ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON THE INFORMATION IN THE PORTAL, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF CEO NETWEAVERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE AND FOREVER WAIVE ANY AND ALL CLAIMS YOU MAY HAVE AGAINST CEO NETWEAVERS FROM LOSSES OR DAMAGES YOU SUSTAIN IN CONNECTION WITH YOUR USE OF THE PORTAL. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542 WHICH SAYS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR." Some states do not allow the foregoing limitations of liability, so they may not apply to you.
d. BY USING THIS PORTAL AND AGREEING TO THE TERMS HEREIN, YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS CEO NETWEAVERS FROM ALL DAMAGES, COSTS AND EXPENSES, INCLUDING BUT NOT LIMITED TO REASONABLE LAWYER'S FEES AND COSTS, ARISING OUT OF ANY CLAIMS FOR INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, LIBEL, AND DEFAMATION RELATING TO ANY MATERIALS YOU SEND OR UPLOAD TO THE PORTAL; ANY ACTIVITY RELATING TO YOUR ACCOUNT, INCLUDING NEGLIGENT OR WRONGFUL CONDUCT BY ANYONE USING THE PORTAL THROUGH YOUR INTERNET ACCOUNT; YOUR BREACH OF ANY PROVISION OF THESE TERMS; OR ANY OTHER MATTER REGARDING THIS PORTAL AND YOUR USE OF IT.
You agree to use best efforts to cooperate with CEO Netweavers in the defense of any such matter. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
e. CEO NETWEAVERS HAS NO CONTROL OVER LINKED SITES OR THE CONTENT OR SERVICES WITHIN THEM. CEO NETWEAVERS CANNOT AND DOES NOT GUARANTEE, REPRESENT OR WARRANT THAT THE CONTENT CONTAINED IN THE LINKED SITES, INCLUDING, WITHOUT LIMITATION OTHER LINKS, IS ACCURATE, LEGAL AND/OR INOFFENSIVE. CEO NETWEAVERS HAS NO LIABILITY FOR LINKED SITES FAILURE TO PERFORM OR ANY ERRORS IN OR OMISSIONS REGARDING ANY INFORMATION WITHIN LINKED SITES. CEO NETWEAVERS DOES NOT REPRESENT OR WARRANT THAT A LINKED SITE WILL NOT CONTAIN COMPUTER VIRUSES OR OTHER HARMFUL CODE THAT COULD IMPACT YOUR COMPUTER OR OTHER WEB ACCESS DEVICE. CEO NETWEAVERS DISCLAIMS ANY AND ALL LIABILITY FOR, OR IN CONNECTION WITH, ANY TRANSACTION OR ACTIVITY RELATED TO LINKED SITES.
f. You acknowledge, consent and agree that the Portal and CEO Netweavers may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to comply with legal process; enforce this Agreement; respond to claims that any Content violates the rights of third parties; respond to your requests; or protect the rights, property or personal safety of CEO Netweavers or its members.
g. WE RESERVE THE RIGHT TO MODIFY OR TERMINATE THE PORTAL FOR ANY REASON, WITHOUT NOTICE AT ANY TIME.

VIII. INTELLECTUAL PROPERTY MATTERS

a. We or third parties who have licensed content to CEO Netweavers, or who have contributed to the Portal, each, individually a "Content Owner") own or license from third parties all Portal Content. All Portal Content remains the sole property of the applicable Content Owner and is protected under all relevant copyright, trademark and other applicable laws. Nothing on the Portal should be construed as granting any license or rights to use or distribute any Portal Content, without the express written agreement of CEO Netweavers or the other applicable Content Owner.
b. CEO Netweavers, and its affiliates and licensors, own and retain all rights in the Portal, which contains proprietary and confidential information protected by applicable intellectual property and other laws, including without limitation all (1) text, (2) software, (3) photographs, (4) graphics, (5) page layout, and (6) design presented through and as part of the Portal. Except as expressly authorized by us, You may not copy, modify, publish, transmit, distribute, disseminate, perform, display or sell any of the Portal's proprietary information.
c. The CEO Netweavers trade name and logo are trademarks of CEO Netweavers, Inc. Our logo and other trademarks that appear throughout the Portal belong to CEO Netweavers, Inc., our affiliates or third party trademark owners, and are protected by U.S. and international trademark laws. Without our express prior written permission, you agree not to display or use in any manner the CEO Netweavers trademarks. Nothing on the Portal shall be construed as conferring any license or other rights under the intellectual property or other proprietary rights of CEO Netweavers, its affiliates or licensors or any third party, whether by estoppel, implication or otherwise. The names of actual companies and products listed on the Portal may be the trademarks of their respective owners.

IX. MISCELLANEOUS

a. CEO Netweavers respects the intellectual property of others. If you believe that some of the Content on the Portal has been copied in a way that constitutes copyright infringement, please contact us at our contact address below.
b. CEO Netweavers controls and operates the Portal from the City of Dallas, Dallas County, Texas (regardless of where hosting servers are located). All matters relating to the Portal are governed by the laws of the state of Texas, without reference to conflict or choice of law principles. You agree that jurisdiction and venue for any legal proceeding relating to the Portal shall be in appropriate courts located in Dallas County, Texas, USA and waive any objection to such jurisdiction. We do not warrant or imply that the Portal or Content on it is appropriate for use outside of the United States. If you are located outside of the United States, you are solely responsible for compliance with any applicable local laws.
c. If for any reason, any provision herein is found void or unenforceable, it will be severed to the extent void or unenforceable and the remaining provisions will continue in full force and effect. Our failure to act with respect to a breach by you or others does not waive any of our rights with respect to later or similar breaches. You may not assign any rights or obligations under this Agreement; however, CEO Netweavers may assign its rights hereunder to any party without notice to you.<\li>
